TrustJet Apartment Property Management limits access to personal information about you to TrustJet, employees and agents whom TrustJet believes reasonably need that information to provide products or services to you or to do their jobs. These individuals are bound by confidentiality obligations and may be subject to discipline, including termination and criminal prosecution if they fail to meet these obligations.


2. Information Sharing and Disclosure


TrustJet may provide your personal information to affiliated companies or other trusted businesses or persons who work on behalf of or with TrustJet. These companies may use your personal information to help TrustJet administer its business or communicate with you about offers or other information relevant to TrustJet.
TrustJet may provide information about you in response to subpoenas, law enforcement requests, court orders, or legal processes, or to establish or exercise our legal rights or defend against legal claims. TrustJet also may provide information about you if TrustJet believes it is necessary to share information in order to investigate, prevent or take action re-garding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, or as otherwise required by law.


If TrustJet becomes involved in a merger, acquisition, or any form of sale of some or all of its assets, it may share your personal information with the potential acquirer or buyer pursuant to a confidentiality agreement.

Terms of Service


These Terms contain a mandatory arbitration provision and waiver of class action procedures. Please read them carefully.


1. Acceptance of Terms


These Terms of Service constitute a legally binding agreement between you and TrustJet LLC, doing business as TrustJet. By accessing or using the TrustJet platform, website, mobile application, API, or any related services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.


You represent and warrant that you are at least eighteen years of age and have the legal capacity and authority to enter into this agreement on your own behalf or on behalf of the legal entity you represent. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case the terms "you" or "your" shall refer to such entity.


2. Definitions


For the purposes of these Terms:

 

• "Broker" refers to the entity or individual using the Services to source, quote, manage, or facilitate private aviation trips for third-party clients.

• "Operator" refers to the Part 135 air carrier or certificate holder responsible for the operation of the aircraft.

• "Client" refers to the end-user, passenger, or principal paying for the charter services.

• "TrustScore" refers to the proprietary risk assessment scoring system calculated and displayed by TrustJet.

• "AOG Report" refers to a report indicating an aircraft is "Aircraft on Ground" or otherwise unavailable for service.

• "Services" refers collectively to the TrustJet website, mobile application, risk intelligence tools, payment processing services, and API.


3. Nature of Services and Disclaimers


TrustJet is a technology company that provides risk intelligence and financial settlement tools for the private aviation industry. We do not own, operate, maintain, manage, or charter aircraft. We are not an air carrier under 14 CFR Part 135 or a direct air carrier under 14 CFR Part 298. We do not provide air transportation services and are not responsible for the acts or omissions of any Operator, Broker, or Client.


TrustJet provides the TrustScore and related data as an informational tool only. The TrustScore is an opinion based on the aggregation of data from third-party sources, including but not limited to the Federal Aviation Administration, the National Transportation Safety Board, the Department of Transportation, and user-generated feedback.


You acknowledge and agree that TrustJet does not independently verify the accuracy, completeness, or timeliness of data provided by government databases or third-party sources. A high TrustScore does not constitute a warranty, guarantee, or certification of an aircraft’s airworthiness, safety, legal compliance, or suitability for any specific mission.


You agree that TrustJet shall not be liable for any decision made or action taken by you or any third party in reliance on the TrustScore or any other information provided through the Services. The Broker and Operator retain sole responsibility for verifying the airworthiness of any aircraft, the validity of insurance and documentation, and compliance with all applicable laws and regulations prior to any flight operation.


4. AOG Reporting and Community Intelligence


The Services allow Users to view and submit reports regarding the operational status of aircraft, specifically "Community AOG" reports. You acknowledge that Community AOG re-ports are unverified user-generated content. TrustJet acts solely as a passive intermediary for the distribution of this information and assumes no obligation to verify the accuracy or truthfulness of such reports.


If you submit a Community AOG report, you represent and warrant that the information contained therein is true, accurate, and based on your direct professional experience or verifiable knowledge. You agree not to submit reports for malicious intent, competitive advantage, harassment, or any purpose that violates applicable law. Deliberately submitting false, misleading, or defamatory AOG reports constitutes a material breach of these Terms and may result in the immediate termination of your account.


TrustJet may provide Operators with a secure link, referred to herein as a "Magic Link," to confirm, deny, or otherwise respond to an AOG Report without requiring the creation of a full user account. By accessing the Services via a Magic Link, the Operator represents that they are the authorized representative of the aircraft in question. Information provided through the Magic Link shall be treated as a verified statement from the Operator. TrustJet reserves the right to update the TrustScore and display the Operator’s response to other Users immediately.


5. Financial Terms and Payment Processing


TrustJet facilitates payments between Clients and Brokers but does not take title to the funds except as an agent for the Broker. The Broker hereby appoints TrustJet as its limited payment collection agent solely for the purpose of accepting funds from Clients on the Broker’s behalf.


You agree that payment made by a Client to TrustJet shall be considered the same as payment made directly to the Broker. Upon the Client’s delivery of funds to TrustJet, the Client’s payment obligation to the Broker is extinguished, and the Broker must provide the agreed-upon services to the Client regardless of whether TrustJet remits the funds to the Broker. If TrustJet fails to remit such funds, the Broker’s recourse is solely against TrustJet, and the Broker shall not seek payment from the Client.
TrustJet acts as a payment processor and is not the "person receiving payment" for the purposes of 26 USC § 4261 or any other applicable tax statutes regarding Federal Excise Tax. The Broker retains sole and exclusive responsibility for the calculation, collection, reporting, and remittance of all applicable federal, state, and local taxes, including but not limited to Federal Excise Tax and Segment Fees. You agree to fully indemnify, defend, and hold TrustJet harmless from any liability, penalties, interest, or claims resulting from your failure to properly calculate or remit such taxes.


The Broker assumes full liability for any chargebacks, disputes, reversals, or cancellations initiated by the Client or the Client’s financial institution. If a chargeback or reversal occurs after TrustJet has remitted funds to the Broker, the Broker agrees to immediately return the disputed funds to TrustJet upon demand. TrustJet reserves the right to offset any negative balance in your account by withholding funds from future payouts.


If you are accessing the Services on behalf of a corporate entity, you represent that you are authorized to bind that entity. TrustJet reserves the right to seek personal liability against individuals only in cases of proven fraud, intentional misappropriation of funds, or criminal misconduct where the corporate veil is used to shield illegal activity.


6. Intellectual Property and Data Rights


All rights, title, and interest in and to the Services, including but not limited to the TrustScore algorithm, the user interface, and the underlying software code are and shall remain the exclusive property of TrustJet.


By submitting data, content, or information to the Services, including but not limited to bid emails, trip details, and AOG reports, you grant TrustJet a nonexclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, and display such data for the purpose of providing and improving the Services. You explicitly authorize TrustJet to aggregate and anonymize such data to train algorithms and improve the Trust-Score, provided that TrustJet shall not disclose specific pricing data associated with your identity to competitors in a non-aggregated format.


7. Disclaimer of Warranties


TrustJet strives to provide the most accurate and up-to-date market intelligence available. However, because our risk intelligence is based on third-party government and industry data, we cannot guarantee that every data point is error-free.


Therefore, the Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, TrustJet disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the TrustScore is immune to errors inherent in public data sources or that the Service will be uninterrupted. TrustJet makes no representations regarding the quality, safety, or legality of any aircraft, operator, or flight service booked via the platform.


8. Limitation of Liability


To the fullest extent permitted by applicable law, TrustJet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.


In no event shall TrustJet be liable for any damages arising from aircraft accidents, incidents, delays, cancellations, mechanical failures, or any personal injury or property damage occurring in connection with a flight booked using the Services. You acknowledge that TrustJet does not control the aircraft or the operators and has no ability to prevent such occurrences.


To the maximum extent permitted by applicable law, in no event shall the aggregate liability of TrustJet exceed the greater of: (a) one hundred U.S. dollars ($100.00); or (b) the total amount of fees you paid to TrustJet in the twelve (12) months preceding the claim. The existence of more than one claim will not enlarge this limit.


9. Indemnification


You agree to defend, indemnify, and hold harmless TrustJet, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your interaction with any other User, including any disputes between Brokers and Operators; (d) any injury, death, or property damage occurring in connection with a flight booked, managed, or paid for using the Services; and (e) your failure to calculate, collect, or remit any applicable taxes.


10. Dispute Resolution and Arbitration


Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services, shall be determined by binding arbitration. The arbitration shall be conducted by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.


The arbitration shall be held in Dover, Delaware, or at another mutually agreed location. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.


You and TrustJet agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.


11. Termination and Suspension


TrustJet reserves the right, at its sole discretion, to modify, suspend, or terminate your access to the Services at any time, with or without prior notice, if we believe you have violated these Terms or engaged in conduct that is unlawful, offensive, or detrimental to TrustJet’s reputation or the integrity of the platform.


Specific grounds for immediate termination include, but are not limited to: submitting false or malicious AOG reports; harassing or abusing other Users or TrustJet staff; misusing the TrustScore data (e.g., scraping data or selling it to third parties); involvement in fraudulent financial transactions; or any action that, in TrustJet’s sole judgment, exposes the platform to liability.


Upon termination, your right to use the Services will immediately cease. If your account is terminated for a violation of these Terms, you will not be entitled to a refund of any unused subscription fees. Sections 5, 6, 7, 8, 9, and 10 of these Terms shall survive any termination of this agreement.


12. General Provisions


These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. If any provision of these Terms is held to be invalid or unenforceable, such provision will be severed and the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and TrustJet regarding the Services and supersede all prior and contemporaneous written or oral agreements. TrustJet reserves the right to modify these Terms at any time. Your continued use of the Services following such modification constitutes your acceptance of the modified Terms.


13. Exclusive Use Subscription Waiver


TrustJet generally charges a subscription fee for access to the Services. However, TrustJet may, at its sole discretion, offer you a waiver of these subscription fees (the "Exclusivity Waiver") strictly conditioned upon your agreement to process one hundred percent (100%) of your business’s charter flight invoicing, settlements, and related financial transactions through the TrustJet Services (the "Exclusivity Condition").


By accepting the Exclusivity Waiver, you grant TrustJet the right to audit your transaction records and utilize third-party data sources to verify your compliance with the Exclusivity Condition. You acknowledge that TrustJet relies on your representation of exclusivity to forego its standard revenue.


If TrustJet determines, in its reasonable discretion, that you have processed transactions outside of the Services in violation of the Exclusivity Condition ("Off-Platform Activity"), you agree that the Exclusivity Waiver shall be immediately and retroactively revoked.


In the event of such a breach, you agree to immediately pay TrustJet the full standard subscription rate for every month (or portion thereof) that you accessed the Services under the Exclusivity Waiver, calculated from your initial start date up to the date of revocation. TrustJet reserves the right to suspend your access to our services until such outstanding amounts are paid in full.
